Terms of Service

These Terms and Conditions outline the agreement between Sydney Webb (“Service Provider”) and the client (“Client”) for the provision of all provided services listed below:

·         Web Design, Graphic Design & Hosting

·         Advertising & Social Media Management

·         Other services

By accepting a quote or making a deposit, the Client agrees to the following terms:

1.     Web Design, Graphic Design & Hosting

1.1.    Sydney Webb will design a website and/or graphics as per the specifications outlined in the quote or project proposal. Any additional work requested by the Client that is not included in the original quote will be subject to additional fees.

1.2.   The Service Provider will provide an estimated timeline for the completion of the project. This timeline is dependent on the Client providing all necessary content, feedback, and approvals in a timely manner. Delays in providing the necessary materials may result in a delay in the project timeline.

1.3.   A non-refundable deposit of 50% of the total project cost is required before any work begins. The remaining 50% is due before the website is made live or handed over to the Client. Payment can be made via Bank Transfer into the bank account of Sydney Webb as indicated on the Quote/Invoice.
If the Client fails to pay the final payment, Sydney Webb reserves the right to withhold the website from going live or being handed over and withhold any completed design work. If payment is overdue by more than 30 days without an arrangement, the service will be cancelled and the deposit will be forfeited.

1.4.   Sydney Webb offers hosting services through its own hosting provider or the Client may choose to handle hosting independently. If the Client handles hosting, Sydney Webb is not responsible for any issues related to third-party hosting services. Domain registration and management are the responsibility of the Client unless otherwise agreed upon.

1.5.   The project includes 1 (one) revision. Additional revisions will be billed at an hourly rate or fixed fee that will be communicated with the client. Major changes or additional features requested after the project has commenced will be considered a new project and will be quoted separately.

1.6.  The Client is responsible for providing all content, including text, images, and other media, unless otherwise agreed upon. The Client warrants that all content provided is legal, accurate, and does not infringe on any third-party rights.

1.7.   Upon final payment, the website will be made live, or files will be handed over to the Client. Sydney Webb will provide training or documentation on how to use the website if included in the project scope.

1.8.   Sydney Webb will provide a limited warranty on the website for 7 days to cover any bugs or errors that arise after the launch. After the warranty period, any further support will be billed at an additional fee.

1.9.   Sydney Webb is not liable for any lack or loss of business, revenue, or profits arising from the use of the website. Sydney Webb is not responsible for any downtime or issues caused by any hosting service or third-party hosting providers.

1.10.  Either party may terminate the agreement with reasonable notice. If the Client terminates the project after work has begun, the 50% deposit is non-refundable. Sydney Webb reserves the right to terminate the project if the Client fails to provide the necessary materials or feedback within a reasonable time frame.

1.11.    Upon final payment, all intellectual property rights for the website will transfer to the Client. Sydney Webb retains the right to display the website in its portfolio and place a backlink to Sydney Webb’s website on the footer of the client’s website.

1.12.   By accepting the quote, paying the deposit or signing the project proposal, the Client agrees to these terms and conditions.

2.    Advertising & Social Media Management

2.1.   Sydney Webb will manage and execute advertising campaigns and social media activities as per the specifications outlined in the quote or project proposal. Any additional work requested by the Client that is not included in the original quote will be subject to additional fees.

2.2. The Service Provider will provide an estimated timeline for the execution of the campaigns and delivery of social media content. Timelines are dependent on the Client providing all necessary content, approvals, and information in a timely manner. Any delays in the provision of required materials may result in a delay in the execution of services.

2.3. Payment terms will be outlined in the Scope, quote or invoice provided to the Client. Payment can be made via Bank Transfer (EFT) into the bank account of Sydney Webb as indicated on the Quote/Invoice.
If the Client fails to make payments on time, Sydney Webb reserves the right to suspend or terminate services.

2.4. The Client is responsible for providing the budget for paid advertising (e.g., Google Ads, Facebook Ads). This budget is separate from Sydney Webb’s management fees. Sydney Webb will manage and optimize the budget but is not responsible for the performance of ads that are affected by factors outside of its control, such as platform changes or audience behaviour.

2.5. The Client is responsible for providing all content, including text, images, and videos, unless otherwise agreed upon. Sydney Webb will ensure that all content meets the guidelines and policies of the advertising and social media platforms used. The Client warrants that all provided content is legal, accurate, and does not infringe on any third-party rights.

2.6. Sydney Webb will provide regular reports on the performance of advertising campaigns and social media activities as per the agreed-upon schedule. While Sydney Webb will use its expertise to optimize campaign performance, it does not guarantee specific results such as a certain number of leads, conversions, or followers.

2.7.  The Client may be required to provide Sydney Webb with access to their social media and advertising accounts. This access is necessary to perform the services agreed upon. Sydney Webbwill maintain confidentiality and security regarding all account information provided by the Client.

2.8. Sydney Webb is not liable for any loss of business, revenue, or profits arising from the use of advertising or social media services. Sydney Webb is not responsible for any issues caused by third-party platforms (e.g., Facebook, Google) or changes in their policies.

2.9. Either party may terminate the agreement with 30 days’ notice. If the Client terminates the project after work has begun, any payments made are non-refundable. Sydney Webb reserves the right to terminate services if the Client fails to provide the necessary materials or payments within a reasonable time frame.

2.10. All content created by Sydney Webb for the Client remains the property of Sydney Webb until full payment is received. Upon full payment, intellectual property rights transfer to the Client. Sydney Webb retains the right to showcase the work performed for the Client in its portfolio.

2.11.   Both parties agree to keep confidential all information exchanged during the course of the project, except where disclosure is required by law.

2.12. By accepting the quote, paying the deposit or signing the project proposal, the Client agrees to these terms and conditions.

3.   All Other Services

3.1.   Sydney Webb will provide business services as outlined in the quote or project proposal. This may include business registrations, administrative support, software setup, and other related services. Any additional services requested by the Client that are not included in the original quote will be subject to additional fees.

3.2. The Service Provider will provide an estimated timeline for the completion of the services. Timelines are dependent on the Client providing all necessary information, documents, and approvals in a timely manner. Delays in providing the necessary materials or information may result in delays in the project timeline.

3.3. A non-refundable deposit of 50% of the total project cost is required before any work begins. The remaining balance is due upon completion of the services and before any deliverables (e.g., registration documents, software access) are handed over to the Client. If the Client fails to make payments on time, Sydney Webb reserves the right to suspend or withhold services and deliverables.

3.4. The scope of work will be clearly outlined in the quote or project proposal. Any changes to the scope after the project has commenced will be considered a new project and will be quoted separately.

3.5. The Client is responsible for providing accurate and complete information, documents, and access to systems necessary for the Service Provider to perform the agreed-upon services. The Client warrants that all information and documents provided are accurate and do not infringe on any third-party rights.

3.6. Sydney Webb will handle business registrations and other legal services as per South African laws. However, the Client is responsible for ensuring compliance with all applicable laws and regulations. Sydney Webb is not liable for any delays or issues caused by government agencies or third-party service providers involved in the registration process.

3.7. Sydney Webb will perform software setup and systems integration based on the Client’s specific requirements and industry best practices. Sydney Webb is not responsible for any issues arising from third-party software or systems beyond its control.

3.8. Both parties agree to keep all exchanged information and documents confidential, except where disclosure is required by law. Sydney Webb will take all necessary steps to protect the Client’s data in compliance with South African data protection laws.

3.9. Sydney Webb is not liable for any loss of business, revenue, or profits arising from the use of its services. Sydney Webb is not responsible for any issues caused by third-party software, systems, or government agencies.

3.10.             Either party may terminate the agreement with [insert notice period] notice. If the Client terminates the project after work has begun, any payments made are non-refundable. Sydney Webb reserves the right to terminate services if the Client fails to provide the necessary materials or payments within a reasonable time frame.

3.11. All deliverables created by Sydney Webb for the Client remain the property of Sydney Webb until full payment is received. Upon full payment, intellectual property rights for the deliverables transfer to the Client. Sydney Webb retains the right to showcase the work performed for the Client in its portfolio, where applicable.

3.12.              By accepting the quote, paying the deposit or signing the project proposal, the Client agrees to these terms and conditions

4.   Cancellation and refunds

Sydney Webb follows a transparent and no fuss cancellation policy. Here are the terms of the policy:

  • Cancellation requests will be considered only when the request is made within 12 hours of placing the order and execution of the project has not started already. A cancelation processing fee of 5% will be deducted from the deposit amount before the deposit is refunded to the client.
  • Sydney Webb will not be held responsible for any third party services, such as hosting and other services not directly part of Sydney Webb’s services
  • No Refunds whatsoever can be made on services rendered or when a project was already started. If the deposit was paid but the project is not yet scheduled, and the client has request a cancelation within the reasonable timeframe, a refund can be arranged less the cancellation processing fees.
  • In the event of a retainer or monthly service package, a 30 day cancellation notice in writing is required when canceling a service.
  • All cancellation requests should be sent to me via e-mail to info@sydneywebb.co.za. The cancellation will not be valid until it is confirmed by me.
